» 1. Purpose and summary of the Scheme
Calor Gas Limited (“we”) will, in exchange for an Installer registered on the Scheme agreeing to provide customer leads under the terms set out below, offer the benefits and incentives set out below.
» 2. Definitions
In these conditions “you” or “yours” refers to the Installer.
“We” or “us” refers to Calor Gas Limited.
“Installer” means a company, firm or sole trader carrying out LPG installation work as named but not an individual employee of such company, firm or sole trader, and who has registered with us by signing and returning the invitation letter.
“Scheme” means the LPGenius Installer Scheme as set out in separate publicity and/or letters of invitation.
» 3. Training Contribution
If you register for the LPGenius Installer Scheme and you are one of the first 100 installers to send in a copy of your ACS Certificate in the following modules: CoNGLP1-PD , CCN1, CEN1+ CPA1, we will make a contribution of £200 towards your LPG training (one certificate per business). Certificates must be dated on or after 1 January 2010.
» 4. Advertising support
We will supply an advertising template for you to use for the purposes of marketing LPG installations. You must only use the template in the precise format in which it is sent to you in order to protect us against any civil claims or breach of our intellectual property where our name or names and logo or logos are being used.
» 5. Business Incentives
5.1. We will pay you a bonus of £250 for each of your customers who, following a lead received by us from you, signs a bulk gas supply contract with us between the 1st August 2011 and the 30th September 2011 (Q3), 1st October 2011 and the 31st December 2011 (Q4). For these purposes a bulk gas supply means either a commercial or domestic bulk LPG tank installation of 1200 litres or more or a 4 x 47kg LPG cylinder installation except that retailers or dealers of LPG cylinders shall not be entitled to refer potential new customers for cylinder installations. A cheque totalling all referrals which we have been able to convert will be sent to you at the end of each quarter. We will advise you by letter of the number of new customer accounts which we have opened. You then need to invoice us for the amount stated in the letter plus VAT. We will then send you a cheque (subject to the invoice being correct) for the full amount.
5.2. For the purposes of 5.1 above you must provide us with:-
- the name of the customer
- the contact details of the customer
- the address and (where available) contact telephone number or numbers and email address of the customer
5.3. In each such reference you must be able to confirm that you have the customer’s consent to use their personal data to enable us to contact them in relation to their enquiry and our other associated products and services.
5.4. In addition to the sums payable under 5.1. above we will be offering quarterly bonuses details of which will be shown on our website calor.co.uk/incentive
5.5. You will be responsible for the payment of any tax which may arise on any payments made under clauses 3, 5.1 or 5.4 above.
» 6. LPGenius Joining pack
We will provide an LPGenius joining pack when you register under the Scheme.
» 7. Your and our other obligations
7.1. Subject to our right to terminate your membership of the Scheme under Clause 9.1 below you are not under any obligation to provide any particular number of leads under clause 5 above.
7.2. We will not be providing any leads to you for any customers who may be interested in installation work or otherwise.
» 8. No Agency
Your membership of the Scheme does not make you our agent in any respect. You must not claim any agency or other relationship with us except that
8.1. You may disclose your intention to pass leads to us for the purpose of giving effect to clause 5
8.2. You may use the advertising support materials provided under clause 4 but solely for the purpose and in the way in which such materials are provided to you and on the terms on which such materials may be provided.
8.3. You will not use our name or names, or logo or logos or any other business description of us other than as either specifically provided by way of materials supplied to you under clause 4 above or as specifically permitted under clause 8.1 above or as otherwise specifically previously approved by us in writing
» 9. Your and our rights to withdraw
9.1. We can terminate your membership of the Scheme.
- 9.1.1. At our discretion on giving you 90 days notice in writing or
- 9.1.2. By giving you 90 days notice in writing in the event that you do not provide any leads to us under clause 5 above or
- 9.1.3. Immediately by notice in writing if you engage in any activity which is materially prejudicial to us or if you breach the terms of clause 4 or clause 8 above.
9.2. You may withdraw from the Scheme by giving us not less than 30 days notice in writing.
9.3. We can terminate the Scheme altogether by giving 30 days notice in writing to all LPGenius Installers registered under the Scheme.
9.4. No sums which we have already paid to you under these conditions will be repayable in the event of termination under this clause 9 except that if we terminate under clause 9.1.3 we will not pay to you any outstanding sums which may be due to you otherwise at the end of the current quarter or any previous quarter for which payment has not at that stage been made under clause 5.
» 10. English Law
These conditions shall be interpreted in accordance with English Law and subject to the exclusive jurisdiction of the English Courts.
